Terms of Service

These Terms of Service ("Terms") govern your use of the web service "StudyPal" ("Service") operated by StudyPal ("we", "us", or "our"). By using the Service, you agree to be bound by these Terms.

1. Scope of Application

  1. These Terms apply to all relationships between users and us regarding the use of the Service.
  2. Any additional terms or guidelines posted on the Service shall form part of these Terms.
  3. In the event of any conflict between these Terms and additional terms, the additional terms shall prevail.

2. Registration

  1. Persons wishing to use the Service shall register in the manner prescribed by us.
  2. We may decline registration in the following cases:
    • False information was provided in the registration application
    • The application is from a person who has previously violated these Terms
    • We otherwise deem the registration inappropriate

3. Account Management

  1. Users shall manage their accounts at their own responsibility.
  2. Users may not transfer, lend, or share their accounts with any third party under any circumstances.
  3. Users shall be liable for any damages incurred by us due to unauthorized use of their accounts.

4. Fees and Payment

  1. Users shall pay the fees separately determined by us for the paid portions of the Service, using the payment methods designated by us.
  2. If a user fails to pay fees on time, we may suspend the provision of the Service to such user.
  3. Unless otherwise specified by us, fees already paid are non-refundable.
  4. On the free plan, learning data such as learning history and progress is retained only for the most recent one month, and older data is deleted periodically. Details of data handling are set forth in our Privacy Policy.

5. Prohibited Activities

Users shall not engage in any of the following activities when using the Service:

  1. Activities that violate laws, regulations, or public order and morals
  2. Activities related to criminal acts
  3. Activities that infringe upon the intellectual property rights, portrait rights, privacy, reputation, or other rights of us or third parties
  4. Activities that destroy or interfere with the functionality of the Service's servers or networks
  5. Commercial use of information obtained through the Service
  6. Activities that may interfere with the operation of the Service
  7. Unauthorized access or attempts thereof
  8. Collecting or accumulating personal information about other users
  9. Impersonating other users
  10. Any other activities deemed inappropriate by us

6. Suspension of Service

  1. We may suspend or interrupt all or part of the Service without prior notice to users if we determine that any of the following reasons exist:
    • When performing maintenance or updates on the Service's systems
    • When provision of the Service becomes difficult due to force majeure such as earthquakes, lightning, fire, power outages, natural disasters, or cyberattacks
    • When we otherwise determine that provision of the Service is difficult
  2. We shall not be liable for any disadvantage or damage incurred by users or third parties due to suspension or interruption of the Service.

7. Copyright

  1. Copyright for all content posted on the Service (including text, images, audio, video, programs, etc.) belongs to us or third parties with legitimate rights.
  2. Users may not reproduce, reprint, modify, sell, or otherwise secondarily use the content of the Service without our prior written consent.

8. Withdrawal

  1. Users may withdraw from the Service through the procedures prescribed by us.
  2. Upon withdrawal, data associated with the user's account will be handled in accordance with our Privacy Policy.
  3. No refunds are issued for the unused portion of any subscription period upon withdrawal. Billing will stop, and access to the current plan may continue until the end of the billed period.
  4. After withdrawal, user-specific data such as learning history and progress will, in principle, be deleted or anonymized within 30 days. Transactional records that we are legally required to retain (such as under the Japanese Electronic Books Preservation Act) will be kept for the statutory retention period.

9. Disclaimer of Warranties

  1. We do not warrant, either expressly or implicitly, that the Service is free from defects (including but not limited to defects in safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, security, errors, bugs, and rights infringement).
  2. We shall not be liable for any damages arising from the Service to users, except in cases of our intentional or gross negligence.
  3. We do not guarantee any learning outcomes from the Service.

10. Changes to Service Content

We may change, add to, or discontinue the content of the Service with prior notice to users, and users shall accept such changes.

11. Changes to Terms

  1. We may change these Terms at any time without notice to users if we deem it necessary.
  2. The revised Terms shall take effect from the time they are posted on the Service, and users who use the Service after the revision shall be deemed to have agreed to the revised Terms.

12. Handling of Personal Information

We shall handle personal information obtained through the use of the Service appropriately in accordance with our Privacy Policy.

13. Governing Law and Jurisdiction

  1. These Terms shall be governed by and construed in accordance with the laws of Japan.
  2. Any disputes arising in connection with the Service shall be subject to the exclusive jurisdiction of the court having jurisdiction over the location of our head office.
